Partner Program Terms and Conditions

  1. DEFINITIONS
    1. “IFA”: IoT For All Holdings, LLC
    2. “Partner”: an organization that has entered into IFA’s Partner Program.
    3. “Subscription”: the benefits and media products provided in the paid Partner Program.
    4. “Subscription Start Date”: the date last signed on individual Partner Program agreements.
    5. “Partner Program Agreement”: a separate document in which the specifics of a given Partner’s Subscription are detailed.
    6. “Partner Benefits” are perks and advantages, detailed in section 9 below, provided by IFA to Partner on an ongoing basis for the duration of the Subscription.
  2. SPECIFICATIONS
    1. Partner will be responsible for the delivery of all information and materials pertaining to the Subscription referenced in the Partner Program Agreement.
    2. All information and materials provided by Partner must be approved by IFA prior to being published, distributed, pushed live, etc.. IFA covenants to use reasonable judgment in approving advertisements, sponsorship, and promotional content. IFA reserves the right to reject any material that does not abide by the content guidelines listed on IFA’s website or the goals of IFA — which are subject to change at the discretion of IFA.
  3. PAYMENT
    1. Unless otherwise stated in the Partner Program Agreement, the Subscription will automatically renew upon the anniversary of the Subscription Start Date. 
    2. Partner may upgrade, downgrade, or cancel their Subscription by emailing subscriptions@iotforall.com
    3. There will be no prorated refunds upon canceling the Subscription. If the Subscription is cancelled prior to the renewal date, Partner will not be billed at their renewal date.
  4. ENTIRE TERMS
    1. These Terms and Conditions in conjunction with the Partner Program Agreement serve in their entirety as the complete agreement between Partner and IFA and shall supersede any and all prior written and verbal agreements as so.
    2. Any and all modifications to the Partner Program Agreement shall be documented in writing and signed by both parties.
    3. Partner represents that it has full power and ability to enter into these Terms and Conditions and fulfill all duties within.
    4. Partner is the rightful owner of all materials including copyrighted material provided to IFA relating to the Subscription.
    5. All materials contained within the Subscription, including the advertisement/deliverables, will not infringe or break any applicable laws or regulations.
    6. Partner will hold IFA harmless of any loss, damage, or injury, without limitation.
    7. Likewise, IFA agrees to indemnify and hold Partner harmless without limitation.
  5. TERMINATION
    1. IFA may at any time terminate the Subscription without notice upon any failure to pay by Partner.
    2. Furthermore, breach of any section of the Partner Program Agreement or these Terms and Conditions will be grounds for immediate termination.
    3. Upon termination, the Subscription will immediately cease and any unused benefits and/or media products included in the Subscription will be voided.
  6. GOVERNING LAW
    1. Any and all legal proceedings that may take place as a result of the Partner Program Agreement, Subscription, or these Terms and Conditions will be under the jurisdiction of Howard County, Maryland, USA.
    2. Prior to taking legal action, the Parties agree to seek mediation in an attempt to solve any disagreements.
  7. AGREEMENT
    1. The parties acknowledge receipt of the Partner Program Agreement and these Terms and Conditions.
  8. VARIATIONS
    1. IFA may revise these Terms and Conditions from time-to-time. Revised Terms and Conditions will apply to the Partner Program Agreement from the date of the publication of the revised Terms and Conditions on this website. Please check this page regularly to ensure you are familiar with the current version.
  9. DESCRIPTION OF PARTNER BENEFITS
    1. Discount on All IFA Media Products & Packages: Partner will receive a discount on all IFA media products & packages (excluding content creation services) purchased by Partner during the duration of Partner’s Subscription. Partner may purchase these media products & packages at any time
    2. Custom Partner Showcase Page IFA Website: Partner will have a custom page built to showcase their company and all content they post on iotforall.com.
    3. Priority Placement on IoT For All’s Ecosystem Page: Partner will be listed in the top section of the popular Ecosystem page to ensure maximum exposure.
    4. New Partner Spotlight (Newsletter & LinkedIn): Partner will be featured as a new partner in IFA’s weekly newsletter (sent to over 100k subscribers) and social media channels.
    5. Exclusive Discounts and Free Passes to Conferences: Partner will have priority access to exclusive discounts and passes to conferences all over the world.
    6. Unlimited Press Release Distribution: Partner may distribute unlimited press releases through IFA.
    7. Unlimited Content Submission: Partner may submit unlimited IoT-focused content for publication on iotforall.com. Submitted content must follow IFA Content Guidelines.
    8. Priority Treatment for Submitted Content: Partner’s content will get enhanced editorial treatment and will skip the editorial queue for posting on a date of the Partner’s choosing.
    9. Custom Branded Sidebar on All Partner Content: All of Partner’s content published on iotforall.com will come with a custom branded sidebar that showcases Partner’s logo, social media accounts, and additional Partner content.
    10. Lead Generation Bar on all Posted Articles: A custom header ‘bar’ at the top of all posted articles linking to the Partner Showcase page & a contact form.
    11. Exclusive Access to IFA Events: Partners receive exclusive pricing and access to IFA events.
    12. Access to Complete Webinar Media Package: Partners have the ability to purchase IFA’s Complete Webinar package (detailed in Exhibit A2). This package is not available to non-Partners.
